Terms of Service

1. Agreement to Terms
By accessing or using SkySag's website (skysag.com) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services. These Terms apply to all visitors, clients, and anyone who interacts with SkySag.
2. Services
SkySag provides digital growth services including AI automation, performance advertising, SEO, social media management, web design, CRM setup, and lead generation. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Service Agreement signed before work commences. These Terms govern the general relationship; the Service Agreement governs specific engagements.
3. Payment Terms
Monthly recurring services are billed in advance at the start of each billing cycle. One-time project fees are invoiced as agreed in the Service Agreement. Payment is due within 7 days of invoice. Late payments may result in service suspension after 14 days without payment. All prices are in USD unless otherwise stated. Setup fees are non-refundable once work has commenced.
4. Cancellation Policy
Monthly services may be cancelled at any time with 30 days written notice sent to support@skysag.com. You will continue to receive services and be billed through the end of the 30-day notice period. There are no lock-in contracts and no cancellation fees. Project-based work cannot be cancelled once the build phase has commenced without forfeiture of any fees paid.
5. Client Responsibilities
You agree to: provide timely access to required accounts, credentials, and assets; supply accurate and complete business information; review and approve deliverables within agreed timeframes; ensure you have all necessary rights to any materials you provide to us; and designate a primary point of contact for your account who has authority to make decisions.
6. Intellectual Property
Upon receipt of full payment, all custom deliverables created specifically for your business become your property. SkySag retains ownership of all proprietary tools, frameworks, methodologies, templates, and know-how used in delivery. We may reference your business as a client in our portfolio, case studies, and marketing materials unless you request otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement including business strategy, pricing, customer data, technical systems, and creative work. This obligation survives the termination of any service relationship by a period of 3 years. Neither party will use the other's confidential information for any purpose outside the scope of the engagement.
8. Results Disclaimer
We are committed to delivering measurable results. However, digital marketing, AI systems, and SEO involve variables outside our control including algorithm changes, market conditions, competition, and economic factors. We do not guarantee specific revenue outcomes, search rankings, or lead volumes unless explicitly stated in a written performance guarantee within your Service Agreement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SkySag's total liability for any claim arising out of or relating to our services is limited to the total fees paid by you in the 3 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of data, or business interruption.
10. Indemnification
You agree to indemnify, defend, and hold harmless SkySag and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses arising from: your violation of these Terms; your use of our services in a manner not authorised; or any third-party claims arising from content or materials you provided to us.
11. Governing Law
These Terms are governed by the laws of the State of Texas, United States. Disputes shall be resolved in the courts of Travis County, Austin, Texas, unless otherwise agreed in writing. UAE-based clients may elect to resolve disputes under DIFC (Dubai International Financial Centre) jurisdiction by written agreement.
12. Changes to Terms
We may update these Terms from time to time. Existing clients will be notified of material changes with at least 30 days' notice via email. Continued use of our services after the effective date of changes constitutes acceptance of the updated Terms. The current version of these Terms is always available at skysag.com/terms-of-service.
